1. About These Terms
These Terms and Conditions govern the provision of services by Studio Sedaiia (sole trader, Amsterdam, the Netherlands) to clients. By engaging our services — whether through a signed proposal, written agreement, or verbal confirmation — you agree to these terms.
2. Services
Studio Sedaiia offers web design, web development, brand identity, and related digital services. The specific scope, deliverables, timeline, and pricing for each project are defined in a separate project proposal or agreement. These terms apply to all such engagements unless otherwise agreed in writing.
3. Project Process
Projects typically follow a proposal → deposit → production → delivery flow. Work begins after the deposit invoice is settled. Revisions within the agreed scope are included; work outside the agreed scope will be quoted separately. We reserve the right to pause a project if feedback or approvals are delayed beyond 14 days without prior notice.
4. Payment
Invoices are due within 14 days of issue unless agreed otherwise. A deposit of 50% is required before production begins on any new project. Final deliverables are released upon receipt of full payment.
Late payments are subject to a statutory interest charge of 1% per month or the maximum rate permitted under Dutch law, whichever is lower. We reserve the right to suspend work on active projects while invoices remain outstanding.
5. Intellectual Property
All custom work created for a client — including designs, code, and visual assets — transfers to the client upon receipt of full payment. Until that point, all work remains the property of Studio Sedaiia.
We retain the right to display completed work in our portfolio and on social media unless the client requests otherwise in writing prior to project start.
Third-party assets (stock images, licensed fonts, open-source libraries) remain subject to their respective licences and are not covered by this transfer.
6. Client Responsibilities
You are responsible for providing accurate information, timely feedback, and any content or assets required for the project. Delays caused by late or incomplete client input may affect the delivery timeline and are not the responsibility of Studio Sedaiia.
You confirm that any content, images, or materials you supply do not infringe on any third-party rights.
7. Revisions and Changes
Each project proposal specifies the number of revision rounds included. Additional revisions or scope changes will be quoted and billed at our standard hourly rate. Change requests should be submitted in writing.
8. Limitation of Liability
Studio Sedaiia shall not be liable for indirect, incidental, or consequential damages arising from the use of delivered work, including but not limited to loss of revenue, data, or business opportunity. Our total liability in any matter is limited to the amount paid by the client for the specific project to which the claim relates.
9. Termination
Either party may terminate a project engagement with 14 days' written notice. In the event of termination, the client is liable for all work completed up to the termination date, billed at the agreed project rate or, if no rate applies, at our standard hourly rate. Any deposit paid is non-refundable if work has commenced.
10. Governing Law
These terms are governed by the laws of the Netherlands. Any disputes shall be submitted to the competent court in Amsterdam, unless alternative dispute resolution is mutually agreed upon.
11. Changes to These Terms
We may update these terms from time to time. The current version is always available at sedaiia.com/terms. Changes take effect from the date of publication and apply to new engagements entered into after that date.
